I don't know the extent of the complication, but it doesn't really matter what it is, the lawyers will pounce on anything and make it more of a big deal than it really is (although there could still be some credence to the issue).
You should see the crap they pull in the securities market trying to sue companies for securities fraud misleading investors...winds up costing the investors more money in the end.
